The applicable setup fee is charged when the service is initially set up.
Setup fees are separate from the recurring monthly subscription fee.
The setup fee covers the initial configuration and implementation of the selected Tarrez service.
Premium Website Setup
For Premium and Premium White Label customers, the setup fee includes the initial design and development of a custom website based on the customer's requirements.
Tarrez will work with the customer during the initial design and development process and make reasonable revisions necessary to achieve the agreed initial website design.
The initial custom website build is considered complete once the customer approves the website for use.
Requests for substantial new functionality, new sections, redesigns, or modifications requested after the initial website has been approved may be subject to additional charges.
6. Subscription and Billing
Tarrez subscriptions are billed monthly.
The applicable subscription fee is automatically charged through Stripe using the payment method associated with the customer's account.
The customer authorizes Tarrez and its payment provider to charge the applicable subscription fees according to the selected plan.
The applicable setup fee is charged as part of the initial service setup.
All prices stated in these Terms are in EUR and are exclusive of VAT or other applicable taxes unless expressly stated otherwise.
Where applicable, taxes will be charged in accordance with applicable law.
7. Automatic Renewal
Subscriptions automatically continue on a monthly basis unless cancelled in accordance with these Terms.
Each billing period begins on the applicable subscription billing date.
By maintaining an active subscription, the customer authorizes recurring charges for each subsequent billing period.
8. Cancellation
A customer may cancel their Tarrez subscription at any time.
Cancellation requests must be submitted to Tarrez at least 7 days before the next billing date.
Cancellation requests may be submitted by contacting:
Email: tarrez.software@gmail.com
If a customer submits a cancellation request less than 7 days before the next billing date, the customer accepts responsibility for any resulting subscription charge.
In such circumstances, the cancellation will take effect at the end of the newly paid billing period.
The Tarrez service remains active until the end of the applicable paid billing period unless Tarrez suspends or terminates the service earlier in accordance with these Terms.
9. Refunds
Payments are non-refundable, including setup fees and subscription payments, except where a refund is required by applicable law.
If a customer cancels their subscription, the customer remains responsible for payments already made for the applicable billing period.
Tarrez does not provide prorated refunds for unused time remaining in a paid billing period, except where required by applicable law.
10. Failed Payments
Subscription payments are processed automatically.
If a payment fails, Tarrez may temporarily suspend or disable access to the Tarrez service, including the customer's website and booking functionality.
Tarrez may contact the customer regarding the failed payment.
If the payment remains unpaid and the customer does not respond or resolve the issue within 7 days, Tarrez may terminate the customer's service.
Suspension or termination for non-payment does not eliminate any payment obligations that have already accrued.
11. Websites
Depending on the selected plan, Tarrez may provide the customer with:
- a Tarrez-branded website;
- a Tarrez-branded subdomain;
- a white-label website;
- a custom domain; or
- a fully custom website.
Websites are provided as part of the Tarrez subscription and are not sold or transferred to the customer as independent software assets.
The website remains part of the Tarrez service for as long as the customer's subscription remains active.
12. Tarrez Branding
Basic and Premium plans include Tarrez branding.
Tarrez branding may appear on the customer's website, booking pages, or other parts of the Tarrez service.
White Label plans do not include Tarrez branding on the customer's website or booking experience, subject to the features of the selected plan.
13. Custom Domains
White Label plans may include a custom domain.
Where Tarrez provides a custom domain as part of the service:
- Tarrez handles the domain registration and setup;
- the domain remains under Tarrez's control;
- the customer receives the right to use the domain as part of the active Tarrez subscription; and
- the customer does not acquire ownership or transfer rights to the domain merely by paying for the Tarrez service.
When the customer's Tarrez subscription ends, the associated website and custom domain may be deactivated and removed.
The customer is responsible for providing accurate domain-related information and cooperating with Tarrez where necessary for domain registration or configuration.
14. Customer Content
The customer may provide Tarrez with content to be displayed through the service, including:
- business names;
- logos;
- photographs;
- descriptions;
- service information;
- prices;
- business information;
- opening hours; and
- other text or materials.
The customer retains ownership of content that it owns and provides to Tarrez.
The customer grants Tarrez a limited, non-exclusive right to use, reproduce, modify where technically necessary, store, and display that content solely for the purpose of providing the Tarrez service.
The customer represents that it has the necessary rights and permissions to provide such content to Tarrez and to have it displayed through the service.
The customer is responsible for ensuring that its content does not:
- infringe third-party intellectual property rights;
- violate applicable law;
- contain unlawful or misleading information; or
- otherwise violate these Terms.
15. Tarrez Intellectual Property
Tarrez owns or has the necessary rights to use the Tarrez software, platform, code, templates, systems, designs, interfaces, functionality, and other materials used to provide the service.
Unless expressly stated otherwise in these Terms, nothing in these Terms transfers ownership of Tarrez's intellectual property to the customer.
This includes the underlying software, code, system architecture, templates, and website implementation used to provide Tarrez websites.
For custom websites, Tarrez retains ownership of the underlying website code, software, design implementation, and other Tarrez-created intellectual property unless a separate written agreement expressly provides otherwise.
16. Customer License to Use the Service
Subject to these Terms and payment of all applicable fees, Tarrez grants the customer a limited, non-exclusive, non-transferable right to use the Tarrez service during the customer's active subscription.
This right exists solely for the customer's internal business purposes and for providing the customer's services to its own customers.
The customer may not:
- resell Tarrez itself;
- sublicense the Tarrez platform;
- copy or reproduce the Tarrez software;
- reverse engineer the Tarrez platform except where such restriction is prohibited by applicable law;
- attempt to gain unauthorized access to Tarrez systems;
- interfere with the operation or security of the service; or
- use the service to provide a competing software platform.
17. Booking Data
The customer is responsible for the personal data it collects from its own customers through the Tarrez booking system.
The customer is generally the data controller for its customers' booking information.
Tarrez generally acts as the data processor for this information.
The parties' respective data-protection responsibilities are further described in the Tarrez Data Processing Agreement (DPA).
The customer is responsible for ensuring that it has an appropriate legal basis for collecting and using its customers' personal data and that it provides any required privacy notices.
18. Customer-Facing Legal Documents
Each business using Tarrez is responsible for its own customer-facing legal documentation.
This may include:
- a Privacy Policy;
- Terms and Conditions;
- cancellation policies;
- booking rules;
- payment policies; and
- other notices required for the business's customers.
Tarrez may provide templates or technical functionality to assist businesses with these documents, but the business remains responsible for ensuring that its customer-facing documents accurately reflect its own business practices and legal obligations.
Tarrez's own Privacy Policy and these Terms govern the relationship between Tarrez and its business customers and are not intended to replace a business customer's own customer-facing legal documents.
19. Booking Rules and Business Responsibility
The customer is responsible for configuring its Tarrez booking system accurately.
This includes information such as:
- services;
- prices;
- appointment durations;
- availability;
- business information;
- employee or worker information;
- booking rules; and
- other information displayed to the customer's customers.
Tarrez is not responsible for inaccurate information entered or approved by the customer.
The customer is also responsible for handling its own appointments, cancellations, refunds, customer disputes, and other matters relating to its underlying business.
20. Analytics
Business Analytics, Revenue Insights, and Customer Insights are available only on plans that include these features.
Analytics may include aggregated or historical information derived from booking activity, such as:
- booking volumes;
- customer counts;
- service popularity;
- average service duration;
- revenue information; and
- other business-performance statistics.
Analytics are intended to provide business-level insights and do not display individual booking customers' names, phone numbers, or email addresses.
Availability and functionality of analytics features may vary according to the customer's subscription plan.
21. Data Deletion
Tarrez is designed to minimize the retention of identifiable booking information.
Identifiable booking records are automatically removed after the applicable booking period.
When a customer's Tarrez subscription ends, Tarrez will delete personal data that is no longer necessary for providing the service, subject to:
- applicable legal obligations;
- legitimate requirements to retain information;
- technical backup retention periods; and
- information that has been aggregated or otherwise processed so that it no longer identifies an individual.
Tarrez does not provide an ongoing data-export service as part of standard cancellation.
The customer is responsible for obtaining any information it needs before the end of its subscription where the service makes such information available.
22. Service Availability
Tarrez will make reasonable efforts to keep the service available and operational.
However, Tarrez does not guarantee that the service will be:
- available at all times;
- uninterrupted;
- completely error-free; or
- free from technical defects.
Temporary interruptions may occur due to:
- maintenance;
- updates;
- technical failures;
- security incidents;
- infrastructure provider issues;
- Internet or network problems;
- circumstances beyond Tarrez's reasonable control; or
- other operational reasons.
23. Changes to the Service
Tarrez may modify, improve, replace, or discontinue features of the service from time to time.
We may introduce new features or remove features that are no longer practical, secure, or commercially viable.
Where a material change significantly affects an active paid service, Tarrez will take reasonable steps to provide appropriate notice where required by applicable law.
24. Suspension of Service
Tarrez may suspend access to the service where reasonably necessary to:
- address non-payment;
- protect the security of Tarrez or other users;
- prevent fraud or abuse;
- investigate suspected unauthorized use;
- comply with legal obligations;
- address a serious violation of these Terms; or
- protect Tarrez's systems or infrastructure.
Where reasonably possible, Tarrez will provide notice before suspension.
25. Termination
Either party may terminate the contractual relationship in accordance with these Terms and applicable law.
Tarrez may terminate or suspend a customer's service where the customer:
- fails to pay applicable fees;
- materially breaches these Terms;
- uses the service unlawfully;
- attempts to compromise the security of the service; or
- engages in conduct that creates a significant risk to Tarrez or its users.
Where a breach can reasonably be corrected, Tarrez may provide the customer with an opportunity to correct the breach before termination.
Upon termination:
- the customer's right to use Tarrez ends;
- the customer's website may be taken offline;
- any Tarrez-provided custom domain may be deactivated and removed;
- access to the Tarrez dashboard may end; and
- personal data will be handled in accordance with the Privacy Policy and applicable DPA.
26. Third-Party Services
Tarrez relies on third-party providers to operate parts of the service, including infrastructure and payment services.
These providers may include Lovable Cloud and Stripe.
Third-party services may be subject to their own terms, policies, and availability.
Tarrez is not responsible for independent failures of third-party services outside Tarrez's reasonable control.
27. Prohibited Uses
You may not use Tarrez to:
- violate applicable law;
- infringe another person's rights;
- distribute unlawful content;
- conduct fraudulent activities;
- attempt unauthorized access to systems;
- interfere with the service;
- distribute malware or malicious code;
- abuse the booking system;
- impersonate another person or business; or
- use Tarrez for activities that create an unreasonable security, legal, or operational risk.
Tarrez may suspend or terminate accounts involved in prohibited activities.
28. Customer Responsibility
The customer is responsible for:
- maintaining accurate account information;
- protecting access credentials;
- configuring its booking services correctly;
- maintaining appropriate customer-facing policies;
- complying with applicable laws;
- obtaining necessary rights to customer-provided content;
- handling its customers and appointments appropriately; and
- paying all applicable Tarrez fees.
The customer must promptly notify Tarrez if it becomes aware of unauthorized access to its account.
29. Disclaimer
Tarrez provides its services on an "as available" basis.
To the maximum extent permitted by applicable law, Tarrez does not guarantee that the service will always meet every particular business requirement or operate without interruption or error.
Tarrez does not provide legal, tax, accounting, financial, medical, or other professional advice through its software.
The customer is responsible for obtaining professional advice where necessary.
30. Limitation of Liability
To the maximum extent permitted by applicable law, Tarrez will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from the use of or inability to use the service.
This includes losses arising from:
- temporary service interruptions;
- inaccurate information entered by the customer;
- customer business decisions;
- customer-facing booking disputes;
- third-party service failures;
- unauthorized access resulting from the customer's failure to protect its credentials; or
- circumstances outside Tarrez's reasonable control.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
31. Indemnification
To the extent permitted by applicable law, the customer agrees to be responsible for claims, losses, liabilities, damages, and reasonable costs arising from the customer's:
- unlawful use of Tarrez;
- violation of these Terms;
- infringement of third-party rights;
- customer-provided content; or
- violation of applicable laws or regulations.
This provision does not apply to the extent that the relevant claim resulted from Tarrez's own unlawful conduct or breach of its obligations.
32. Force Majeure
Tarrez will not be responsible for failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control.
Such circumstances may include:
- natural disasters;
- war;
- terrorism;
- government actions;
- major Internet or telecommunications failures;
- widespread infrastructure outages;
- cyberattacks;
- failures of essential third-party infrastructure; or
- other events that could not reasonably have been prevented or overcome.
33. Privacy and Data Protection
Tarrez processes personal data in accordance with its Privacy Policy.
Where Tarrez processes personal data on behalf of a business customer, the parties' relationship is additionally governed by the Tarrez Data Processing Agreement (DPA).
If there is a conflict between these Terms and the DPA regarding the processing of personal data on behalf of the customer, the DPA will prevail with respect to that processing.
34. Changes to These Terms
Tarrez may update these Terms from time to time.
Updated Terms will be published with a new "Last updated" date.
Where required by applicable law, Tarrez will provide reasonable notice of material changes.
Continued use of the service after the effective date of updated Terms may constitute acceptance of the updated Terms where permitted by applicable law.
35. Governing Law
These Terms are governed by the laws of Poland, except to the extent that mandatory provisions of applicable law require otherwise.
Any dispute arising from or relating to these Terms will be subject to the jurisdiction of the competent courts in Poland, unless applicable mandatory law requires otherwise.
36. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue to apply.
37. Entire Agreement
These Terms, together with the applicable Privacy Policy and Data Processing Agreement, constitute the principal agreement governing the customer's use of Tarrez.
Any additional written agreement between Tarrez and a customer may supplement or modify these Terms where expressly agreed by both parties.
38. No Waiver
If Tarrez does not immediately enforce a provision of these Terms, this does not mean that Tarrez has waived its right to enforce that provision later.
